Client agreements
Terms & Conditions
Version 1.0 · 2 November 2026
These conditions are intended for project-management consultancy assignments with businesses and individual consumers. They do not themselves create a service contract. A contract is made only following an accepted quotation or other written agreement.
1. Provider and services
Rotheation FZ-LLC (“rotheation”), CWIP2055, Compass building – Al Hulaila, Al Hulaila Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates, offers project-management consultancy within the scope of its applicable licence. Services may include planning, coordination, project control, operational improvement, documentation and resource assessments. Regulated activities requiring an additional licence or permit are not included unless separately and lawfully arranged.
2. Scope and incorporation
These Terms may apply to both business clients and private consumers. They become part of a specific assignment only where the quotation or agreement clearly refers to the relevant version, the client can review and retain it before accepting, and the client accepts it. Mandatory consumer protections and individually agreed conditions take precedence over conflicting provisions here.
3. Quotations and changes
Each written quotation or agreement should state the services, expected deliverables, assumptions, responsibilities, timetable and fees. A quotation is binding only if expressly stated as such and accepted within its specified validity period. Material changes to scope, schedule or cost must be agreed before the affected additional work proceeds.
4. Pricing and expenses
Services are priced according to the agreed assignment. A schedule of indicative standard rates may be requested; it does not replace an accepted quotation. The quotation identifies hourly or daily rates, project fees, approved expenses, taxes and any other payable charges. Prices are stated in UAE dirhams (AED). Where the client is a private consumer, the total price or a clear, understandable method of calculation, including all mandatory charges and applicable taxes, will be disclosed before commitment. VAT is charged only where legally applicable. Rate changes do not alter an already accepted quotation unless expressly agreed.
5. Timeframes and project decisions
Milestones and time estimates are recorded in the agreed assignment. The client will receive timely notice of material circumstances affecting delivery where reasonably possible. Any extension or revised milestone must be agreed, taking into account the client’s statutory rights.
6. Client cooperation
The client provides relevant, accurate information, access and decisions reasonably necessary for the agreed services. rotheation will explain the effect of missing information or delayed approvals where foreseeable. Any additional work or fees arising from a change require the client’s prior agreement.
7. External specialists and costs
Where a project requires third-party suppliers, specialist services, travel or external expenditure, the quotation shall identify whether these are included, separately charged or independently contracted by the client. Additional third-party costs require the client’s prior approval. rotheation does not claim to be a licensed operator of services outside its permitted activity.
8. Professional care and deliverables
rotheation performs agreed services with reasonable professional skill and care. Advice, evaluations, reports and recommendations reflect the agreed scope and information reasonably available at the time. Specific commercial results are not guaranteed unless expressly promised in writing. Consumer rights concerning deficient or incomplete services remain unaffected.
9. Cancellation, postponement and termination
Cancellation, postponement and termination conditions, including any reasonable and evidenced costs, shall be stated clearly in the accepted quotation where relevant. If a project is terminated, the parties will account for services properly delivered and authorised non-recoverable costs, subject to applicable law and any consumer refund or remedy rights. No automatic forfeiture or blanket non-refundable charge is created by these Terms.
10. Invoices and payment
Invoices identify the services, fees and applicable taxes and show the due date agreed in the quotation. The client may raise a genuine invoice dispute promptly, and the parties will seek a fair resolution. For private consumers, invoices and service information will be provided in the form and language required by applicable UAE law, including Arabic where required. No undisclosed fee is added.
11. Confidentiality and work products
Each party shall treat non-public information received for the project as confidential, except where disclosure is authorised or legally required. Unless agreed otherwise, the client may use final deliverables for the purposes described in the accepted quotation once the agreed corresponding fees have been paid, without restricting any mandatory legal rights. Pre-existing materials, templates and know-how remain with their respective owners.
12. Responsibility and statutory rights
Nothing in these Terms excludes liability or remedies that cannot lawfully be excluded, including mandatory consumer protection rights. Each party remains responsible under applicable law for its own acts and obligations. Any project-specific limitation of liability must be expressly agreed and legally valid; these Terms do not impose a blanket exclusion of responsibility.
13. Personal data and communications
Personal data is handled in accordance with applicable data-protection requirements and the website Privacy Notice. The parties should use appropriate channels for sharing sensitive or confidential project materials.
14. Concerns and disputes
The client can raise questions or complaints using the website contact options or info@rotheation.ae. The parties will first try to resolve disputes reasonably and promptly. UAE law applies to the extent legally permitted, without prejudice to mandatory consumer protections or jurisdictional rules.
15. Version, language and priority
The accepted quotation or individual agreement takes precedence over these general conditions. The version explicitly incorporated at contract acceptance applies to that assignment; later website changes do not alter it automatically. The English text is the working reference for drafting, subject to any mandatory Arabic-language or consumer-law requirements. Where the law requires, clients will receive the applicable Arabic documents. Separate website terms of use govern access to this site.
